Terms of Service

1. Acceptance

By accessing or using the Mnemo platform operated by Arion Flow Ltd ("Arion Flow", "we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you are using Mnemo on behalf of an organisation, you confirm that you have authority to bind that organisation to these Terms. If you do not agree, do not use the service.

2. Service description

Mnemo is a private AI knowledge platform that enables organisations to index, search, and query their own documents using AI-assisted retrieval. The service is provided as a software-as-a-service (SaaS) application accessible via web browser and, where available, API.

3. Accounts

You must create an account to use Mnemo. You are responsible for:

• ›Maintaining the confidentiality of your account credentials
• ›All activity that occurs under your account
• ›Notifying us immediately of any unauthorised access at security@arionflow.com

You must be at least 18 years old to create an account. Accounts are for business use.

4. Acceptable use

You agree not to use Mnemo to:

• ›Upload or process content that is unlawful, harmful, or infringes the rights of any third party
• ›Attempt to gain unauthorised access to any part of the platform or another user's data
• ›Reverse engineer, decompile, or attempt to extract source code
• ›Use the service in a way that disrupts or damages the platform or other users
• ›Resell or sublicense the service without our written consent

5. Payment terms

Paid subscriptions are billed monthly or annually in advance. Fees are non-refundable except as required by law. Prices may change with 30 days' written notice. If payment fails, we may suspend access after a grace period. Enterprise contracts are governed by separate order forms.

6. Intellectual property

Our property: Arion Flow and its licensors own all rights in the Mnemo platform, including software, designs, trademarks, and documentation. Nothing in these Terms transfers ownership of the platform to you.

Your property: You retain all ownership rights in the documents and content you upload to Mnemo. We claim no intellectual property rights in your content.

7. Data ownership

Your data is yours. Documents you upload, queries you submit, and outputs generated from your knowledge base are owned by you or your organisation. We process your data to provide the service, as described in our Privacy Policy and Data Processing Agreement. We do not claim ownership of, or rights to use, your data beyond what is necessary to deliver the service.

8. Warranties and disclaimers

We provide Mnemo on an "as is" basis. We warrant that:

• ›We will operate the service with reasonable skill and care
• ›We will implement appropriate security measures to protect your data
• ›We will provide notice of material changes to the service

We do not warrant that the service will be uninterrupted or error-free, or that AI-generated responses will be completely accurate. You are responsible for verifying any information produced by Mnemo before relying on it for professional purposes.

9. Limitation of liability

To the maximum extent permitted by law, Arion Flow's total liability to you for any claim arising under these Terms shall not exceed the total fees paid by you in the 12 months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages, or for loss of profits, data, or business, even if advised of the possibility of such damages.

10. Termination

Either party may terminate this agreement:

• ›You may close your account at any time from your account settings
• ›We may terminate or suspend access if you breach these Terms, with notice where possible
• ›On termination, we will delete your data within 30 days (see our Privacy Policy for details)

11. Governing law

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified by email at least 30 days before they take effect. Continued use of the service after the effective date constitutes acceptance of the revised Terms.
